Overview of the Role

Responsible for handling legal matters related to regulated investment companies including board matters and support, regulatory requirements, research and reporting.

Duties and Responsibilities

You will provide legal advice and support for the following areas:

  • Provide support for mutual fund board of trustees, including overseeing the production of board materials, drafting board memos, and other board meeting and materials coordination

  • Minute taking

  • Coordinate and oversee annual contract approval/renewal (15(c)) process

  • Mutual fund contract management, including reviewing existing contracts and drafting new contracts or amendments to existing contracts

  • Mutual fund policy and procedure management

  • Serve as a point of contact for trustees and communicate with trustees directly, via telephone and email; attend board meetings

  • Support U.S. registered product initiatives as needed

  • Support regulatory initiatives as needed

  • Records management

  • Carry out additional duties as assigned

Supervisory Responsibilities

For paralegals and administrative staff, may plan, allocate, monitor work and make decisions regarding employment, performance appraisal, training, salary adjustments and related personnel actions.

Technical Skills and Qualifications

  • Excellent interpersonal skills with the ability to effectively interact with senior management and board members.

  • Ability to exercise excellent legal judgment balanced with business needs.

  • Excellent writing skills, specifically ability to draft formal meeting minutes

  • Excellent verbal and written communication skills.

  • Strong analytical, research, and problem solving skills.

  • Strong organizational skills with the ability to prioritize and manage multiple projects simultaneously

  • Ability to maintain confidentiality.

  • Ability to work with minimal supervision.

  • Strong computer skills, including Microsoft Word and Excel.

  • Two to four years of experience as an attorney within a law firm or financial services company.

  • Law degree required.

  • Admission to at least one State Bar.

Working Environment/Physical Activities:

  • Overtime may be required on short notice and may include weekend/evening/holiday hours.

  • Open plan environment with general office equipment provided such as PC/laptop, telephone, copier, etc.

For those in scope of Knowledge & Competence (MiFID II)

  • Knowledge of financial markets, financial markets function and the impact of economic figures and national/regional/global events on markets

  • Understanding of issues relating to market abuse and anti-money laundering

Ongoing competence in the role to be assessed by:

  • Annual Performance Appraisal

  • Completion of all assigned Compliance training
